Introduction

The mobile application UBQT (the “App”) is owned and operated by UBQT L.L.C. FZ, a limited liability company established Meydan Freezone under formation number 2306724 (“we” or the “Company”).  The App allows its users (“you”) to search and connect with people you already know or whom your contacts know based on the distance from your destination or current location. It offers travellers with an opportunity to catch-up with their contacts, friends or family who are already signed up on the App or invite friends or family nearby their current locations to the App and connect accordingly. If you have planned a trip, you can update the trip details under your account on the App and your contacts in that destination location or current location will be shown to you to connect or request catch-up upon your arrival (the “Services”).

Acceptance of the Terms and Conditions

By registering your account through a mobile application, you agree to be legally bound by these terms and conditions, the privacy policy, as incorporated herein by reference and other terms that may disclosed by the Company and agreed by you if you take part of any events, promotional activities or purchase a subscription from the Company (collectively the “Terms”).

Please read these Terms carefully before using this App or the Services. If you do not agree to these Terms, please do not access the App or the Services.

Using the Services 

The Services are only available for use to persons who have reached the age of legal majority under applicable laws and are competent to enter into legally binding agreements.

You accept the Services on an “as-is” basis and choose to use them at your own risk. Despite the prohibitions below, the Services may contain inaccurate, inappropriate, or possibly offensive material, and we assume no responsibility or liability for such material.

While using the Services, you agree:

1. to comply with the applicable laws of your jurisdictions related to transmission of technical data.
2. that your profile information will be visible to users you may know or are connected to somewhere else other than the App. Such users, if determined to be nearby your location may request to connect and catch up in person.
3. that the Company will have access to your contacts list and will share your live geolocation with your connections or contacts on the App.
4. that events you create on the App are visible to both your connections on the App and also your contacts registered on the Apps but not connected to you.
5. to update your trip details under your account whenever you plan a trip to a new destination.

You further agree not to:

1. Place false or misleading information during the use of the Services.
2. Display, send, receive, or store obscene or inappropriate content.
3. input or upload to the Services sites any information that may contain viruses, time bombs or other computer programming routines that are intended to damage, interfere with, intercept, or expropriate any system, the Sites or information that infringes the intellectual property rights of another.
4. Advertise, promote, endorse, or market, directly or indirectly, any third-party commercial products, services, solutions, or other technologies.
5. Harass, stalk, or threaten, defraud, or defame any person.
6. Attempt to collect, store, or publish personally identifiable information (a) without the owner’s knowledge and consent or (b) of a minor under the age of thirteen (13) in any circumstance. 
7. Disable, circumvent, disrupt, interfere with, or otherwise violate the security of the Services.

Please be respectful and use the Services for their intended purpose.

Links to third party websites provided on the site or in the Services are provided for your convenience. We are not liable for the contents or credibility of such websites and do not approve the contents thereof. Therefore, using any of such links to have access to such websites is made at your own risk. We may work on replacing the impaired or corrupted links to other websites where we are notified. However, we do not guarantee that such links will work properly because we do not control such links.

Privacy Notice

By using the Services, you consent to the collection, transfer, storage, and use of your personal information by the Company on servers located in Canada in accordance with the Company’s privacy policy.

Termination

We may limit or terminate your access to the Services, remove hosted content and take technical and legal steps to keep users off the Services if we think they are creating problems or acting inconsistently with the Company’s policies. Please report problems, offensive content, and policy violations by emailing us at catchup@joinubqt.com. 

Liability

To the extent legally permitted we expressly disclaim all warranties, representations, and conditions, express or implied, including those of quality, merchantability, merchantable quality, durability, fitness for a particular purpose and those arising by statute. We are not liable for any loss, whether of money (including profit), goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of the Services even if you advise us or we could reasonably foresee the possibility of any such damage occurring. Certain jurisdictions do not accept disclaimers of warranties or exclusion of damages, so such disclaimers or exclusions may not apply to you. Despite this, if we are found to be liable, our liability to you or any third party (whether in contract, tort, negligence, strict liability in tort, by statute or otherwise) is limited to USD /50/. 

Indemnity

You agree to indemnify and hold us (and our officers, affiliates, directors, agents, subsidiaries, joint ventures, and employees) harmless from any demands or claims including reasonable attorneys’ fees, made by any third-party due to or arising out of or in connection with your breach of these Terms, or your violation of any law or the rights of a third party.

General Terms

These Terms and the other policies posted on this site or such specific agreements that you may enter into with the Company constitute the entire agreement between the Company and you, superseding any conflicting parts of any prior agreements.

To the fullest extent permitted by law, these Terms are governed by the United Arab Emirates laws and DIFC Courts will have jurisdiction to settle all disputes or claims arising out of these Terms or in connection with the Services.

If we don’t enforce any particular provision, we are not waiving our right to do so later. If a court strikes any of these Terms, the remaining terms will survive. 

We may automatically assign these Terms or the Services in our sole discretion in accordance with the notice provision below. 

Except for reporting policy violations and intellectual property infringements, any legal notices from you to us shall be served on the Company using catchup@joinubqt.com.

We may update these Terms at any time, with updates taking effect 30 days after they are initially posted on the relevant online platforms.
